APPROVED PRODUCERS LIST & BRAND VERIFICATION

1. Official Approved Producers List

The Licensor shall maintain and publish an official list of Approved Ginocello Producers (“Approved Producers List”), identifying businesses that are currently licensed and authorised to produce Ginocello under this Agreement.

Only producers who:

  • Hold an active and fully paid licence, and

  • Remain compliant with all terms of the Agreement

shall be eligible to appear on the Approved Producers List.

2. Purpose of the Approved Producers List

The Approved Producers List exists to:

  • Help customers identify genuine, authorised Ginocello producers

  • Protect the Ginocello brand from unauthorised use

  • Provide transparency and consumer confidence

  • Support licensed producers through official recognition

Customers are encouraged to use this list to choose Ginocello only from approved producers who meet the Brand’s standards.

3. Benefits to Licensed Producers

Inclusion on the Approved Producers List provides Licensees with:

  • Official recognition by the Ginocello Brand

  • Increased customer trust and credibility

  • Public verification of licence status

  • Differentiation from unlicensed or imitation products

  • Additional marketing exposure through the Brand’s platforms

This listing reinforces to customers that the producer:

  • Is authorised by the Brand

4. Conditions of Inclusion

Inclusion on the Approved Producers List is:

  • Subject to ongoing compliance with this Agreement

  • At the sole discretion of the Licensor

  • Automatically suspended if the Licence is suspended or terminated

  • Removed immediately upon expiry or non-renewal of the Licence

The Licensor reserves the right to:

  • Update, amend, or remove listings

  • Add or remove producer details

  • Determine the format and visibility of listings

5. Use of Approved Status in Marketing

Licensed producers listed as approved may:

  • Refer to themselves as an “Approved Ginocello Producer”

  • Display statements such as:

    • “Officially Approved by the Ginocello Brand”

    • “Authorised Ginocello Producer”

Such references must:

  • Be accurate

  • Reflect current licence status

  • Not imply exclusivity or ownership of the Brand

6. Consumer Protection and Brand Integrity

Any producer not appearing on the Approved Producers List:

  • Is not authorised to produce Ginocello

  • Must not represent themselves as approved

  • May be subject to enforcement action

The Brand actively encourages customers to verify producers via the Approved Producers List before purchasing Ginocello products.

For the avoidance of doubt:

  • We are Ginocello

  • All rights, title, and interest in the Ginocello name, reputation, and goodwill belong exclusively to the Licensor

Nothing in this Agreement shall be interpreted as granting the Licensee any ownership or proprietary interest in the Ginocello Brand.

2. Worldwide Brand Presence

Ginocello operates as a worldwide brand, with licensed producers, partners, and customers across multiple regions and markets.

The Licensee acknowledges that:

  • The Ginocello Brand has an established international presence

  • The Brand is recognised by a global customer base

  • Brand reputation has been built through consistent quality, authorised production, and long-term customer trust

This Agreement permits participation in that global brand ecosystem only under the terms set out herein.

3. Brand Recognition and Customer Trust

The Ginocello Brand is well known and trusted by its faithful customers, who actively seek out:

  • Authentic Ginocello products

  • Approved and authorised producers

  • Verified sources listed or referenced by the Brand

Customers rely on the Ginocello name as an indicator of:

  • Authenticity

  • Quality

  • Proper authorisation

  • Compliance with Brand standards

The Licensee acknowledges that misuse of the Ginocello name risks damage to that trust and constitutes a material breach of this Agreement.

4. Protection of Brand Goodwill

shall accrue exclusively to the Licensor.

5. Official Communications and Verification

  • Brand announcements

Customers and third parties are encouraged to verify authenticity via Ginocello.com, and the Licensee shall not dispute or undermine this verification process.

6. Use of Brand Statements by Licensees

Subject to compliance with this Agreement, the Licensee may accurately state:

  • “Authorised Ginocello Producer”

  • “Approved by the Ginocello Brand”

  • “Produced under licence from Ginocello”

Such statements must:

  • Be truthful and current

  • Reflect an active licence

  • Not imply ownership, exclusivity, or partnership beyond licensing

7. Misrepresentation and Enforcement

Any unauthorised claim of association with Ginocello or Ginocello.com by unlicensed parties constitutes infringement.

The Licensor reserves the right to:

  • Publicly clarify authorised producers

  • Remove or deny approval status

  • Take enforcement action where necessary
